Merchant Onboarding & Legal Eligibility
- This Merchant & Seller Agreement ("Agreement") governs the registration, listing, and commercial relationship between independent merchants ("Seller", "Merchant") and To be published ("NearCart").
- To sell through NearCart, Merchants must maintain active, verified business credentials, including:
- Valid Goods and Services Tax Identification Number (GSTIN) or statutory tax exemption documentation.
- Valid Food Safety and Standards Authority of India (FSSAI) license or registration (for all food, beverage, grocery, and dietary products).
- Valid Trade License, Shops and Establishment Act registration, and PAN card.
- Active business bank account matching the registered entity name.
Product Catalog, Inventory & Pricing
- Merchants hold full operational ownership of their product catalog listed on NearCart:
- Legal Metrology Compliance: All packaged goods must accurately state MRP, net quantity, manufacturer details, and consumer care coordinates in compliance with the Legal Metrology (Packaged Commodities) Rules, 2011.
- Pricing: Merchants shall not list or sell products above the Maximum Retail Price (MRP) printed on the package.
- Stock Accuracy: Merchants agree to maintain accurate physical stock counts and mark out-of-stock items promptly using the NearCart Seller Portal to avoid unfulfillable customer orders.
- Expiry & Freshness Standards: Delivering expired, sour, spoiled, or short-dated goods is strictly prohibited. Merchants are solely liable for food safety violations and statutory penalties under the Food Safety and Standards Act, 2006.
Order Acceptance & Packaging Standards
- Upon receiving a new customer order alert via the NearCart Seller Dashboard:
- The Merchant shall accept the order within 3 minutes and immediately begin picking and packing items.
- Packaging must be hygienic, food-safe, and securely sealed to prevent contamination, spills, or tampering during transit.
- Raw meat, dairy, eggs, and frozen goods must be segregated from ready-to-eat bakery goods and dry packaged foods.
- The packaged parcel must be ready for handover when the assigned Delivery Partner arrives at the physical store.
Commissions, Fees & Payout Cycles
- NearCart charges an agreed-upon marketplace technology service fee and payment facilitation fee on successfully fulfilled orders, as set forth in the Merchant Onboarding Schedule.
- Payouts: Settled balances for delivered orders are remitted directly to the Merchant's registered bank account on a predictable rolling payout cycle (typically T+2 business days).
- Deduction for Quality Failures: If a customer claim for rotten, expired, or missing items is verified as store packaging negligence, the merchant's payout will be debited by the corresponding product value.
Suspension & Delisting Grounds
- NearCart reserves the right to suspend or permanently delist a Merchant's store profile for:
- Repeated customer quality complaints or selling expired or adulterated goods.
- Systematic order cancellations due to physical store stock-outs.
- Charging above printed MRP or tampering with manufacturer packaging.
- Disrespectful or abusive behavior toward delivery partners or customers.
